1. Definitions

Users: Refers to Account Holders, Hosts, Participants, Viewers, Customers, and/or Subscribers of the KonX Conference Room Subscriptions and KonX eCards as specified in the VtexCom User’s Terms and Conditions.

2. Intellectual Property Rights

All products and services associated with KonX are protected by intellectual property laws, including copyright. VtexCom Global, Inc. retains ownership of all proprietary rights in KonX products and services, including all trade names, trademarks, and service marks associated and displayed with these products or services.

Users shall not remove, deface, or obscure any copyright or trademark notices, legends, or other proprietary notices on, incorporated in, or associated with KonX products or services.

Users are prohibited from reverse engineering, reverse compiling, or otherwise reducing to human-readable form any software, software codes, or programming associated with KonX products or services.

3. Acceptable Use

Users shall not use KonX products or services in any manner that could damage, disable, overburden, impair, interfere with, or disrupt the websites, KonX products or services, networks connected to the services, or security systems.

Users acknowledge that KonX products or services, or portions thereof, may be subject to the export control laws of the United States. Users shall not export, re-export, divert, transfer, or disclose any portion of KonX products or services or any related technical information or materials, directly or indirectly, in violation of any applicable export law or regulation.

4. Disclaimer of Warranties

KonX products or services are provided “AS IS.” VtexCom Global, Inc., its management team, owners, partners, subsidiaries, affiliates, suppliers, and resellers expressly disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

VtexCom Global, Inc. and its associated parties make no warranty or representation regarding:

• The accuracy or reliability of any information obtained through KonX products or services.
• Any goods or services purchased or obtained through KonX products or services.
• Any transactions entered into through KonX products or services.
• That KonX products or services will meet any user’s requirements or be uninterrupted, timely, secure, or error-free.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will VtexCom Global, Inc., its management team, owners, affiliates, suppliers, or resellers be liable for any special, incidental, indirect, exemplary, or consequential damages whatsoever. This includes, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss or damage arising from the use of or inability to use KonX products or services or the provision of or failure to provide technical or other support services, whether arising in tort (including negligence), contract, or any other legal theory, even if VtexCom Global, Inc. or its associated parties have been advised of the possibility of such damages.

In any case, VtexCom Global, Inc. and its associated parties’ maximum cumulative liability and user’s exclusive remedy for any claims arising from or related to this agreement will be limited to the amount actually paid by the user for KonX products or services (if any) in the previous 12 months.

Some jurisdictions do not allow the exclusion or limitation of liability; therefore, the above limitation may not apply to certain users.

6. Indemnification

Users agree to indemnify, defend, and hold harmless VtexCom Global, Inc., its management team, owners, partners, subsidiaries, affiliates, officers, directors, employees, consultants, agents, suppliers, and resellers from any and all third-party claims, liabilities, damages, and/or costs.

7. Prohibited Uses

Users are prohibited from:

• Providing false or misleading information concerning any VtexCom Global, Inc. products or services to any party, subscriber, or prospective customer.
• Contacting, hiring, employing, or subcontracting any services, creating third-party agreements with VtexCom Global, Inc., its providers, or advertisers of products and services without written permission from VtexCom Global, Inc.
• Entering into any competitive relationships with VtexCom Global, Inc. or marketing similar products or services while actively using KonX products and services.
• Using KonX products and services in any illegal activities, such as selling illegal drugs, or for any adult entertainment purposes to customers and prospects.

8. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Nevada, USA, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms and Conditions shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association in Las Vegas, Nevada, USA, or the International Arbitration Association.

Louisiana residents may choose Louisiana law, jurisdiction, and venue.

9. Modifications

VtexCom Global, Inc. reserves the right to modify policies, procedures, products, and services from time to time. Any modifications and changes, upon publication or announcement, shall become a binding part of this agreement.

10. Ownership and Restrictions

The KonX website, website codes, intellectual programming codes, and content are the property of VtexCom Global, Inc., protected under applicable copyright, trademark, patent, and other intellectual property rights and laws.

Users are prohibited from copying, redistributing, using, or publishing any content without explicit permission.

No ownership, interest, or license to any patent, copyright, trademark, trade secret, or other intellectual property rights or content is granted, assigned, or transferred to users by reason of access to and use of the KonX website, content, or KonX Web-Conferencing and Communications Services.

All trademarks, service marks, trade names, and copyrights displayed on the KonX website, website codes, intellectual programming codes, or in the content are proprietary to VtexCom Global, Inc.

Users acquire no rights or licenses to any trademarks, service marks, trade names, or copyrights displayed on the KonX website or through access to the KonX website and content.

KonX Web-Conferencing and Communications Services are provided for business and communication purposes only. Users may not reproduce, republish, distribute, assign, sublicense, retransmit, sell, prepare derivative works of the KonX website or content, or resell or make KonX Web-Conferencing and Communications Services available to others.

Users shall not copy any identifying elements of KonX, such as the website, content, intellectual programming codes, logos, banners, icons, taglines, customized invitations, invitation links, concepts, ideas, or marketing strategies that belong to VtexCom Global, Inc. Any duplication or transfer to third parties, including participants, viewers, users, and other private or business sectors, shall constitute theft and fraud. VtexCom Global, Inc. reserves the right to prosecute to the fullest extent of the law for any violation of this User’s Terms and Conditions.

11. Refund Policy

All sales of KonX products or services are final; therefore, credit card payments cannot be reversed, and check payments cannot be refunded.
